Job Description:

The General Counsel will serve as the primary legal advisor to senior management, providing strategic and practical legal guidance to support business objectives. This role requires a strong background in business law, contract negotiations, corporate governance, and risk management. The General Counsel will play a key role in managing legal risk, ensuring regulatory compliance, and supporting the growth of ENANTIODROMIA as a luxury menswear brand.

Key Responsibilities:

• Legal Advisory: Provide legal counsel and strategic advice on business operations, including corporate governance, contracts, compliance, and intellectual property protection.
• Contract Management: Review, draft, and negotiate contracts, including supplier, distribution, and licensing agreements, ensuring alignment with business goals and legal standards.
• Risk Management: Identify and assess legal risks related to business operations and product development. Develop and implement strategies to mitigate these risks.
• Intellectual Property Protection: Oversee the protection of the brand’s intellectual property, including trademarks, patents, and copyrights, ensuring compliance with international regulations.
• Regulatory Compliance: Ensure compliance with relevant industry regulations, labor laws, and international trade requirements. Advise the company on matters related to tax, import/export laws, and any other legal matters related to the fashion industry.
• Dispute Resolution: Manage legal disputes, including contract disputes, intellectual property infringements, and any potential litigation. Work with external counsel when necessary.
• Corporate Governance: Ensure the company’s corporate structure and internal policies comply with legal standards. Support board meetings and assist in the preparation of documents for shareholders and regulatory filings.
• Partnerships & Acquisitions: Provide legal support on strategic partnerships, mergers, acquisitions, and joint ventures, ensuring that all transactions align with the company’s long-term goals and legal requirements.
• Team Collaboration: Work closely with senior leadership and other departments, including finance, operations, and HR, to ensure legal compliance across the organization.

Qualifications:

• J.D. (Juris Doctor) degree from an accredited law school and admission to the bar.
• 5+ years of experience as a business lawyer or general counsel, preferably with experience in the fashion, luxury, or retail industries.
• Extensive knowledge of business law, including contract law, intellectual property, corporate governance, and international trade regulations.
• Proven experience with negotiating and drafting complex contracts and agreements.
• Strong analytical, negotiation, and communication skills.
• Ability to manage legal risks and provide practical, business-oriented legal solutions.
• Experience in managing legal disputes and working with external law firms when needed.
• Strong organizational skills with the ability to handle multiple legal matters simultaneously.
• Discretion and the ability to maintain confidentiality on sensitive legal matters.
• Proactive, solution-oriented, and adaptable in a fast-paced, growing environment.
